Terms and Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Sorigin Insurance Brokers & Technology Services ("Sorigin", "we", "our", or "us") governing your access to and use of the Sorigin Asset Management Services (AMS) Mobile Application ("Application" or "App").

By downloading, installing, accessing, or using the Application, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Application.

1. Acceptance of Terms

By accessing or using the Sorigin AMS Mobile Application, you confirm that:

• You are at least 18 years of age
• You have the legal capacity to enter into a binding agreement
• You are authorized to access the asset data displayed in the Application
• You have read, understood, and agreed to these Terms
• You acknowledge this is a Beta version with potential limitations

2. Beta Version Acknowledgment

You acknowledge and agree that:

• The Application is currently in Beta testing phase
• Features may be incomplete, unstable, or subject to change without notice
• Data accuracy, availability, and synchronization may vary
• The Application may contain bugs, errors, or performance issues
• We reserve the right to modify, suspend, or discontinue features at any time
• Beta access may be revoked without prior notice
• This Beta version is provided "AS IS" without warranties of any kind

3. License Grant

Subject to your compliance with these Terms, Sorigin grants you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the Application on authorized devices
• Access and use the Application for legitimate business purposes
• View and analyze asset performance data to which you have been granted access

License Restrictions

You may NOT:

• Modify, reverse engineer, decompile, or disassemble the Application
• Remove or alter any proprietary notices or labels
• Use the Application for any unlawful or unauthorized purpose
• Share your account credentials with unauthorized persons
• Attempt to gain unauthorized access to any systems or data
• Use automated systems to extract data without permission
• Redistribute, resell, or sublicense the Application

4. User Accounts and Security

To use the Application, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account
• Use only accounts created and authorized by Sorigin

We reserve the right to suspend or terminate accounts that violate these Terms or pose security risks.

5. Data Access and Permissions

Access to asset data is governed by role-based permissions. You may only access data for which you have been explicitly authorized. Unauthorized access attempts may result in:

• Immediate account suspension or termination
• Legal action for breach of contract
• Reporting to relevant authorities

6. Acceptable Use

You agree to use the Application only for lawful purposes and in accordance with these Terms. Prohibited activities include:

• Violating any applicable laws or regulations
• Infringing intellectual property rights
• Transmitting malicious code or harmful content
• Interfering with Application functionality or security
• Impersonating others or providing false information
• Harvesting data for unauthorized purposes
• Using the Application in a manner that could damage, disable, or impair our services

7. Intellectual Property Rights

All content, features, and functionality of the Application, including but not limited to:

• Software code and architecture
• User interface design and graphics
• Text, images, logos, and trademarks
• Data analytics and algorithms
• Documentation and training materials

are owned by Sorigin or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws.

8. Data Privacy and Protection

Your use of the Application is also governed by our Privacy Policy, which explains how we collect, use, store, and protect your personal data. By using the Application, you consent to such processing.

9. Limitation of Liability

9.1 Beta Version Disclaimer: The Application is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. Given the Beta nature of the Application, we make no guarantees regarding:

• Accuracy, completeness, or reliability of data
• Uninterrupted or error-free operation
• Security or freedom from viruses
• Fitness for a particular purpose
• Non-infringement of third-party rights

9.2 Exclusion of Damages: Sorigin shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or information
• Business interruption
• Costs of procurement of substitute services
• Decisions made based on Application data

9.3 Maximum Liability: Our total liability to you for all claims arising from or related to the Application shall not exceed the amount of fees paid by you (if any) for the Application in the 12 months preceding the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless Sorigin, its affiliates, officers, directors, employees, agents, and licensors from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the Application
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of applicable laws or regulations
• Unauthorized access using your account credentials

11. Third-Party Services and Links

The Application may contain links to or integrate with third-party services, websites, or content. We do not control, endorse, or assume responsibility for any third-party services. Your use of third-party services is at your own risk and subject to their respective terms and policies.

12. Availability and Maintenance

We strive to maintain Application availability but do not guarantee uninterrupted access. We may:

• Perform scheduled or emergency maintenance
• Temporarily suspend services for updates or repairs
• Modify features or functionality
• Discontinue the Beta version without liability

We will make reasonable efforts to provide advance notice of planned maintenance, but this is not always possible for emergency situations.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through:

• In-app notifications
• Email to registered users
• Updated "Last Updated" date on this page

Continued use of the Application after such modifications constitutes acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of the Application.

14. Termination

14.1 By You: You may terminate your use of the Application at any time by:

• Uninstalling the Application from your devices
• Requesting account closure through in-app support

14.2 By Sorigin: We may suspend or terminate your access immediately, without prior notice, if:

• You violate these Terms
• Your account poses a security risk
• We discontinue the Application or Beta program
• Required by law or regulatory authority
• You engage in fraudulent or unauthorized activities

14.3 Effect of Termination: Upon termination:

• Your license to use the Application immediately ceases
• You must uninstall the Application from all devices
• We may delete your account data in accordance with our data retention policies
• Provisions regarding liability, indemnification, and intellectual property survive termination

15. Force Majeure

Sorigin shall not be liable for any failure to perform obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to:

• Natural disasters, pandemics, or acts of God
• War, terrorism, civil unrest, or government actions
• Internet service failures or telecommunications outages
• Power outages or equipment failures
• Cyber attacks or security breaches affecting third-party infrastructure

16. Governing Law and Dispute Resolution

16.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

16.2 Jurisdiction: Any disputes arising from or relating to these Terms or the Application shall be subject to the exclusive jurisdiction of the courts of Pune, Maharashtra, India.

16.3 Dispute Resolution: Before initiating legal proceedings, parties agree to attempt to resolve disputes through good faith negotiations for a period of 30 days.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sorigin regarding the Application and supersede all prior agreements, understandings, and communications, whether written or oral.

19. No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Sorigin.

20. Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms or delegate any obligations without restriction. Any attempted assignment in violation of this section shall be null and void.
